1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the NJTownWorks platform ("the Platform"), operated by NJTownWorks ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
The Platform is intended for use by authorized employees and officials of New Jersey municipalities ("Municipal Users"). Each municipality that subscribes to the Platform ("Subscribing Municipality") is responsible for ensuring its authorized users comply with these Terms.
2. Platform Description
NJTownWorks is a cloud-based municipal financial management platform that provides general ledger, budgeting, accounts payable and purchasing, debt service management, revenue tracking, escrow administration, fixed asset management, payroll processing, payment processor integration, compliance tools, and financial reporting capabilities designed specifically for New Jersey municipal government operations.
3. Eligibility
The Platform is available exclusively to New Jersey municipalities and their authorized personnel. Each Subscribing Municipality must designate at least one Municipal Administrator who is responsible for managing user access, configuring municipal settings, and ensuring compliance with these Terms.
4. User Accounts
Each Municipal User receives an individual account with role-based access controls (System Administrator, Municipality Administrator, Department Head, Clerk, or Council). Users are responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their accounts.
Municipal Administrators must promptly deactivate accounts for users who are no longer authorized to access the Platform (e.g., upon termination of employment).
5. Permitted Use
You may use the Platform solely for legitimate municipal financial management purposes in accordance with applicable New Jersey statutes, including the Local Budget Law (N.J.S.A. 40A:4), the Local Fiscal Affairs Law (N.J.S.A. 40A:5), and the Local Public Contracts Law (N.J.S.A. 40A:11).
Use of the Platform is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms.
6. Data Ownership
All municipal financial data, employee records, and other content entered into the Platform by Municipal Users ("Municipal Data") remains the sole property of the Subscribing Municipality. NJTownWorks does not claim any ownership interest in Municipal Data.
We process Municipal Data solely to provide the Platform's services and as described in our Privacy Policy and Data Processing Addendum.
7. Service Availability
We strive to maintain Platform availability at 99.9% uptime, measured monthly, excluding scheduled maintenance windows. Scheduled maintenance will be announced at least 48 hours in advance and performed outside of normal business hours (Eastern Time) whenever possible.
We do not guarantee uninterrupted access. We are not liable for temporary unavailability due to maintenance, force majeure events, or circumstances beyond our reasonable control.
8. Fees and Payment
Subscription fees, billing frequency, and payment terms will be specified in the Service Agreement executed between NJTownWorks and each Subscribing Municipality. These Terms govern the general use of the Platform; specific commercial terms are set forth in the applicable Service Agreement.
NJTownWorks does not charge any fees for payment processing transactions. Municipalities use their own existing payment processors, and any processing fees are between the municipality and its processor.
9. Compliance and Regulatory
The Platform is designed to support compliance with New Jersey municipal finance regulations. However, the Platform is a tool — it does not replace the judgment of qualified municipal finance professionals. The Subscribing Municipality and its Chief Financial Officer remain solely responsible for ensuring compliance with all applicable laws, regulations, and statutory requirements.
NJTownWorks provides compliance alerts, statutory threshold enforcement, and deadline tracking as informational aids. These features do not constitute legal or financial advice.
10. Intellectual Property
The Platform, including its software, user interface, documentation, and all related intellectual property, is owned by NJTownWorks and protected by applicable copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during the subscription term.
You may not reverse engineer, decompile, or disassemble any part of the Platform, or create derivative works based on the Platform.
11. Limitation of Liability
To the maximum extent permitted by applicable law, NJTownWorks shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from or related to your use of the Platform.
Our total aggregate liability under these Terms shall not exceed the fees paid by the Subscribing Municipality in the 12 months preceding the claim.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
12. Indemnification
The Subscribing Municipality agrees to indemnify and hold harmless NJTownWorks from and against any claims, damages, or expenses arising from the municipality's use of the Platform in violation of these Terms, or from any inaccurate data entered into the Platform by Municipal Users.
13. Termination
Either party may terminate the subscription by providing 90 days' written notice. Upon termination, NJTownWorks will provide a complete data export in machine-readable format and securely delete all Municipal Data within 90 days, unless retention is required by law.
We may immediately suspend or terminate access for any user who violates these Terms or the Acceptable Use Policy, or if we reasonably believe continued access poses a security risk to the Platform or other users.
14. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated to Municipal Administrators via email and in-platform notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of laws provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in the State of New Jersey.
